The Management Board of CIECH S.A. presented its position on the tender offer to subscribe for the sale of shares in CIECH S.A., announced by KI Chemistry S.À R.L. on 9 March 2023.

The acquisition of shares under the tender offer is an element of a long-term, strategic financial investment by KI Chemistry. KI Chemistry intends to continue supporting CIECH S.A. in its current and planned operations, and to initiate activities aimed at strengthening its market and financial position by unifying and improving ownership supervision in the processes related to the implementation of strategic decisions.

In the light of the observed phenomena and potential threats, KI Chemistry estimates that the formula of building value based on the stock exchange has currently been exhausted and the withdrawal of CIECH S.A. from the public market will enable it to compete more effectively on global markets based on a new ownership model, and as a result – a mechanism for flexible key decision making in a short time.

After the tender offer, KI Chemistry does not plan to change the location of CIECH S.A.'s operations or employment policy, in particular, it does not plan to reduce employment in the Company. KI Chemistry did not provide any other or more detailed information on this subject. Accordingly, in the opinion of the Management Board of CIECH S.A. there are no grounds to believe that the tender offer will have a negative impact on employment in the Company or change of the location of its operations. Similarly, until the position was prepared, the announcement of the tender offer had no impact on employment in the Company or the entire CIECH Group.

The Management Board of CIECH S.A. positively evaluates the above declaration of KI Chemistry. Moreover, bearing in mind the intention to support the Company in its current and planned operations, the intention of KI Chemistry to maintain the current profile of the Company's operations, its employment policy and the location of its operations is also positively assessed.

Considering the above, in the opinion of the Management Board of CIECH S.A., the tender offer and the interest of the Company are aligned.

In accordance with legal requirements, as well as having regard for, among others, both independent Share Price Opinions (Lazard & Co. Limited and Rothschild & Co Polska sp. z o.o.), the Management Board of CIECH S.A. finds that the price proposed in the tender offer corresponds to the fair value of the Company.
