The Management Board of Ciech [Issuer] reports that on October 31st, 2012 the Issuer's Supervisory Board gave its consent to conclude a conditional agreement for the sale and transfer of intangible assets related to the production of TDI to BASF Polska Sp. z o.o., referred to in current report no. 41/2012 of October 12th, 2012 [Agreement]. A consent of the Issuer's Supervisory Board constituted one of conditions precedent of the Agreement.
