The Management Board of Ciech [Issuer] reports that on November 15th, 2012 the Supervisory Board of Zakłady Chemiczne Zachem SA with its registered office in Bydgoszcz [Zachem] gave its consent to conclude a conditional agreement for the sale and transfer of intangibles related to the production of TDI to BASF Polska Sp. z o.o., referred to in current report no. 41/2012 of October 12th, 2012 [Agreement]. A consent of the Zachem Supervisory Board constituted one of the conditions precedent of the Agreement.
