The Management Board of Ciech SA [Issuer] publishes, as an attachment hereto, a current report on carrying out by Ciech SA on December 6th, 2012 an issue of intra-group bonds governed by the law of Poland to the amount of EUR 245,000,000, accession on December 6th, 2012 of selected subsidiaries of Ciech SA to the agreement of November 28th, 2012 setting out the terms and conditions of bond issue as well as of granting guarantees (indenture), granting on December 6th, 2012, guarantees by selected subsidiaries to Ciech SA on the basis of the agreement of November 28th, 2012 setting out the terms and conditions of bond issue as well as of granting guarantees (indenture), establishing on December 6th, 2012 of collateral on parallel debts created under the agreement between creditors of November 28th, 2012; and non-fulfillment of negative conditions under the agreement of November 28th, 2012 setting out the terms and conditions of bond issue as well as of granting guarantees.
