The Management Board of Ciech S.A. [Issuer], in reference to current report no. 41/2012 of October 12, 2012, informs that on February 27, 2013 the signing of the addendum to the agreement for sale and transfer of intangibles related to TDI production to BASF Polska sp. z o.o. [Agreement] concluded between the Issuer and a subsidiary of the Issuer, Zakłady Chemiczne Zachem S.A. [Zachem] and BASF Polska sp. z o.o. and BASF SE [Parties to the Agreement] took place. As the Issuer already informed in its current report no 41/2012 of October 12, according to the Agreement, the conditions precedent connected with the activities of the Issuer and Zachem were scheduled to be fulfilled by December 31, 2012, and the condition precedent related to the consent of the competent antimonopoly (competition) authorities by February 28, 2013. As the last of the conditions precedent, i.e. the consent of all relevant antimonopoly authorities, may have not been fulfilled by the previously scheduled date, i.e. February 28, 2013, the Parties to the Agreement concluded the Addendum on the February 27, 2013, under which the date for fulfilling the conditions precedent was rescheduled to March 31, 2013.
