The Management Board of Ciech S.A. [Issuer], in reference to current report no. 41/2012 of October 12, 2012, regarding the conclusion of the contract for the sale and transfer of intangible and legal assets connected with TDI production to BASF Polska sp. z o.o [Contract] concluded by and between the Issuer and a subsidiary of the Issuer, Zakłady Chemiczne Zachem SA [Zachem], with BASF Polska sp. z o.o. and BASF SE [Parties to the Contract], informs that on February 28, 2013 it received information that Anti-Monopoly Committee of Ukraine (an Ukrainian authority for the protection of competition ) granted its consent for conducting the transaction being the subject of the Contract, thus, the last of the conditions precedent of the Contract which was to obtain the necessary approvals and consents of all of the relevant antimonopoly authorities, has been fulfilled. In connection with fulfillment of all of the conditions precedent (on the fulfillment or the groundlessness of the other conditions precedent of the Contract the Issuer informed in current reports no. 47/2012, 50/2012, 53/2012, 67/2012 and 4/2013; about extension of the period for fulfillment of all conditions precedent of the Contract, the Issuer informed in current report no. 47/2012, 50/2012, 53/2012, 67/2012 and 4/2013 and on the extension of the deadline for the fulfillment of the conditions precedent – in current report 10/2013), the Parties to the Contract intend to conduct the closing actions for the transaction, agreed upon in the Contract, within 7 business days counting from the fulfillment of the last condition or on another day agreed upon by the Parties to the Contract.
