Subject : Disclosure of delayed confidential information to the public knowledge concerning entering into negotiations with companies of Air Products Group

CIECH S.A. (“Issuer”) discloses to the public knowledge confidential information, the disclosure of which was delayed on the basis of Art. 57 Section 1 of the Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instrument to Organized Trading and Public Companies (“Act on Offering”) and § 2 Section 1 Point 1 of the Polish Regulation of the Minister of Finance dated 13 April 2006 on the Type of Information which May Impair a Legitimate Interest of the Issuer and Methods of Conduct of the Issuer in Connection with Delayed Disclosure to the Public Knowledge of Confidential Information.
The Issuer informs that on 15 November 2013 it passed to the Polish Financial Supervision Authority a notice on the delay of disclosure to the public knowledge of the confidential information along with reasons for this delay, with reservation that the Issuer will disclose to the public knowledge a report concerning the given event until 5 December 2013. Subsequently, the moment of disclosure of the confidential information was postponed on 7 December 2013.
The confidential information, the disclosure of which to the public knowledge was delayed, was entering by Issuer and Issuer’s subsidiary – Infrastruktura Kapuściska S.A. with its registered seat in Bydgoszcz (formerly: “Zakłady Chemiczne Zachem S.A.” with its registered seat in Bydgoszcz; hereinafter: “IK”) into negotiations with companies of the Air Products Group (i.e. Air Products LLC, Air Products Chemicals Europe B.V. and Air Products and Chemicals INC.; hereinafter collectively as: “Air Products”) and conclusion in connection with above by and between the Issuer and IK and Air Products of a memorandum of understanding as to the principle conditions of a settlement agreement subject to negotiations (“Memorandum of understanding”).
