Report : 

​The Management Board of Ciech [the Issuer], acting pursuant to Article 56, section 1, point 1 of the Act of 29 July 2005 on public offering, conditions governing the introduction of financial instruments to organised trading and public companies, and with regard to the current report number 41/2012 of 12 October 2012 regarding the conclusion of the contract on selling and transferring intangible and legal assets connected with TDI production to the benefit of BASF Polska sp. z o.o. [Contract with BASF], informs that within the scope of implementing the conditions precedent stipulated under the Contract with BASF, until 31 December 2012, the Issuer, upon the consent of Zakłady Chemiczne ZACHEM S.A. [Zachem], concluded with other persons co-authorised to intellectual property rights connected with TDI technology covered with the protection resulting from patent right (patents and registration requests) contracts on purchasing these rights within the scope held by other co-authorised persons, whereas, one of the contracts concluded was of a preliminary contract’s character.

On 23 January 2013, while executing the provisions of the aforementioned preliminary contract, the Issuer concluded a contract on purchasing intellectual property rights connected with TDI technology with the last co-authorised person.

The indicated herein mode of leading to the fulfilment of conditions precedent to the Contract with BASF aiming at providing BASF with the undisturbed and free of any charges to the benefit of persons hitherto authorised use of intellectual property rights connected with TDI technology was confirmed by the Parties to the Contract with BASF as compliant with the Contract. In particular, the Parties confirmed that concluding on 23 January 2013 the contract on purchasing intellectual property rights connected with TDI technology with the last of the remaining persons co-authorised to perform the preliminary contract does not stand for breaching the Contract with BASF and does not give any of the Parties grounds for termination thereof.
