CIECH S.A. announces that on 9 June 2014 it received a notification prepared according to Art. 77 section 7 and Art. 69 section 1 point 1 of the Act of 29 July 2005 on Public Offering and Terms and Conditions of Trade of Financial Instruments in the Organized Trading System and on Public Companies (uniform text, (Journal of Laws of 2013, item 1382) from KI Chemistry s.à r.l., with a registered office in Luxembourg - 65, boulevard Grande-Duchesse Charlotte L-1331 Luxembourg, reading as follows:
"Pursuant to Art. 77 section 7 and Art. 69 section 1 point 1 of the Act of 29 July 2005 on Public Offering and Terms and Conditions of Trade of Financial Instruments in the Organized Trading System and on Public Companies (uniform text, (Journal of Laws of 2013, item 1382) ("the Act"), KI Chemistry s.à r.l. ("KI Chemistry") announces that, as a result of the settlement of the call announced on 5 March 2014 by KI Chemistry to subscribe for the sale of the shares in Ciech S.A., on 9 June 2014, KI Chemistry acquired a total of 26,952,052 shares in the share capital of Ciech S.A., which constitutes 51.14% of the share capital of Ciech S.A.; the shares give a right to 26,952,052 votes at the Shareholders' Meeting of Ciech S.A., which constitutes 51.14% of the total number of shares at the General Shareholders' Meeting of Ciech S.A., as of the date of this notification.
Before the gaining of the present number of shares, KI Chemistry, either directly or indirectly, did not hold any shares in the share capital of Ciech S.A. or any votes at the General Shareholders' Meeting of Ciech S.A.
KI Chemistry does not exclude a possibility of an increase or decrease, either directly or indirectly, of a share in the total number of votes at the Shareholders' Meeting of Ciech S.A. within the next 12 months.
KI Chemistry does not have any subsidiaries which hold shares in Ciech S.A.
KI Chemistry has not concluded any agreement referred to in Art. 87 section 1 point 3 letter c of the Act, i.e. an agreement whose object would be the transfer of rights to exercise the right of vote.
