Ciech S.A. ("the Issuer") announces that on 12 June 2014 it received a notification from the Minister of the State Treasury, acting on behalf of the State Treasury of the Republic of Poland ("the State Treasury"), drawn-up pursuant to Art. 69 section 1 point 2 and Art. 69 section 2 point 2 of the Law of 29 July 2005 on Public Offering and Terms and Conditions of Trade of Financial Instruments in the Organized Trading System and on Public Companies, stating that on 9 June 2014 the State Treasury, in consequence of the settlement of the transaction of acquisition of the shares of the Issuer, concluded as a result of a call for subscription for the Issuer's shares, announced on 5 March 2014 by KI Chemistry s. à r. l., with a registered office in Luxembourg ("the Caller"), transferred to the Caller 19,972,900 shares of the Issuer, constituting 37.9% of the share capital of the Issuer and authorizing the holder to exercise 19,972,900 votes at the General Shareholders' Meeting of the Issued, constituting 37.9% of votes at the General Shareholders' Meeting of the Issuer.
Before the transaction, the State Treasury held 19,972,900 shares of the Issuer, constituting 37.9% of the share capital of the Issuer and authorizing it to exercise 19,972,900 votes at the General Shareholders' Meeting, constituting 37.9% of the general number of shares at the Shareholders' Meeting.
After the transaction, the State Treasury does not hold any shares of the Issuer.
The subsidiaries of the State Treasury do not hold any shares of the Issuer.
