Legal basis : Art. 160 section 4 of the Act on Trade – information about transactions of persons who are members of governing bodies.

Report : 

Ciech S.A. (hereinafter referred to as "the Issuer" or "the Company") announces that on 26 June 2014 it received a notice prepared according to Art. 160 section 1 of the Law of 29 July 2005 on Trade in Financial Instruments in connection with the acquisition of the Issuer's shares by a person forming a part of the Issuer's governing body.

Pursuant to § 3 section 1 of the Regulation of the Minister of Finance of 15 November 2005 regarding transfer and disclosure of information about certain transactions in financial instruments and rules of preparation and keeping of a list of persons having access to certain confidential information (hereinafter: "the Regulation"), the Issuer provides the following information obtained from the obliged party:

  1. The legal connection of the party obliged to provide information: the serving of the function of a member of the Management Board of the Issuer;
  2. Description of the transaction: purchase of 1,990 shares of the Issuer at an average price of PLN 32.99, effected on 18 June 2014, as part of a transaction in the regulated market of the Stock Exchange in Warsaw.

In addition, the Company announces that according to § 3 section 2 of the Regulation, the person obliged to provide information did not grant its consent to the transfer of the data specified in § 2 section 1 point 1 of the Regulation.

Legal basis: Art. 160 section 4, with reference to Art. 160 section 1 point 1) of the Law on Trade in Financial Instruments of 29 July 2005 (Journal of Laws of 2014, item 94) and § 3 section 1 of the Regulation.
