Subject: Discontinuation of proceedings regarding the revocation of a resolution of the Shareholders’ Meeting of a subsidiary

With reference to current report no. 30/2015 of 4 September 2015, report no. 32/2015 of 2 October 2015, report no. 33/2015 of 5 October 2015 and report no. 48/2015 of 18 December 2015, the Management Board of Ciech S.A., with a registered office in Warsaw (“the Issuer” or “the Company”) announces that today it has gained information regarding discontinuation, on 13 January 2016, by the Valcea County Tribunal in Romania, of proceedings conducted against a subsidiary of the Issuer - CIECH Soda Romania S.A. in Romania (“CSR”) for revocation of a resolution of the Shareholders’ Meeting of 4 September 2015 regarding an increase in the share capital (current report no. 33/2015 of 5 October 2015). The proceedings were discontinued due to withdrawal of a suit lodged by a minority shareholder of CSR – the S.C. CET Govora S.A. company in Romania (“CET”).

The decision on discontinuation of proceedings is not final and enforceable. As of the date of the decision becoming final and enforceable, the claim of the Company for return by CSR of a contribution made to cover 1,655,137,440 shares in the increased share capital of CSR (current report no. 32/2015 of 2 October 2015 and report no. 48/2015 of 18 December 2015) will expire.
