The Management Board of CIECH S.A. with its registered office in Warsaw (the “Company”), hereby informs that today it has received the decision of the District Court for the capital city of Warsaw in Warsaw, XII Commercial Division of the National Court Register, dated 10 August 2016, regarding registration of amendments to the Articles of Association of CIECH S.A. made by virtue of Resolution No. 20 of the Annual General Meeting of CIECH S.A. of 16 August 2016 (as communicated to the public by the Company in its current report no. 21/2016 of 16 June 2016).

The Articles of Association of the Company were amended in the scope of § 24 section 4 point 9), and related to the change of the value of transactions of the Company for which a resolution of the Management Board is required.

The Annual General Meeting of CIECH S.A. amended the Articles of Association of CIECH S.A. as follows:

• § 24 section 4 point 9) of the Articles of Association:

- in its existing wording, i.e.:

9) disposal of rights or incurring of liabilities whose value exceeds PLN 500,000 (say: five hundred thousand);

- was replaced by:

9) disposal of rights or incurring of liabilities with a value exceeding PLN 500,000 (in words: five hundred thousand), excluding purchase and sale of raw materials, semi-finished products and products related to the business of the Company up to PLN 6,000,000 (in words: six million), in a single transaction or a series of associated transactions.

The consolidated text of the Articles of Association of the Company, adopted by resolution no. 21 of the Annual General Meeting of 16 June 2016 (as communicated to the public by the Company in its current report no. 21/2016 of 16 June 2016), has been appended to this report.

Legal basis: § 38 section 1 point 2 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information provided by issuers of securities and on conditions under which information required by legal regulations of a third country may be recognised as equivalent.
