Contents of the report:
With reference to Current Report No. 11/2015 of 26.05.2015, the Management Board of Ciech S.A. (the “Issuer” or “Company”) herewith informs that the Supervisory Board of the Company – upon consideration of a recommendation by the Audit Committee – has passed a resolution today on the extension of the agreement with the auditing company PricewaterhouseCoopers Sp. z o.o. with its registered office in Warsaw to audit statutory financial statements of CIECH S.A. and consolidated financial statements of the Ciech Group for the years 2018-2019. The Agreement will be concluded for the time necessary to fulfil the obligations arising therefrom.

The selection was made in accordance with § 21 section 2 point 8) of the Articles of Association of the Company and in accordance with the Policy and Procedure for Selecting an Auditing Company to Audit the Statutory Financial Statements of CIECH S.A. and the Consolidated Financial Statements of the CIECH Group, as well as applicable regulations and professional standards. 

PricewaterhouseCoopers Sp. z o. o. with its registered office in Warsaw at 14 Lecha Kaczyńskiego St., 00-638 Warsaw, is entered into the list of entities authorised to audit financial statements under number 144.

The Company used the services of PricewaterhouseCoopers Sp. z o. o. in the scope of audit and review of separate financial statements of CIECH S.A. and consolidated financial statements of the CIECH Group for the years 2015-2017. During the same period, PricewaterhouseCoopers Sp. z o.o. audited and reviewed financial statements of some of the companies of the CIECH Group. In addition, the Company used additional services provided by PricewaterhouseCoopers Sp. z o.o., the extent of which did not result in the limitation of the level of impartiality and independence of the auditor.

Legal basis: Art. 56 section 1 point 2 of the Act of 29 July 2005 on Public Offering (…) and § 25, in conjunction with § 5 section 1 point 19 of the Regulation of the Minister of Minister of Finance of 19 February 2009 on current and periodic information provided by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state (Journal of Laws of 2009, No. 33, item 259, as amended).
