Management Board of Ciech S.A. with its registered office in Warsaw ("Company" or "Issuer"), acting pursuant to article 80 of the Act of July 29, 2005 on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organized Trading and on Public Companies, hereby publishes the position of the Company's Management Board regarding a tender offer for ordinary bearer shares of the Company (the "Tender Offer"), announced by KI Chemistry S.á r.l. based in Luxembourg on March 9, 2023, along with two independent opinions ’prepared individually by: Lazard & Co., Limited based in London and Rotschild & Co. Poland Sp. z o. o. based in Warsaw (jointly "Advisers") on issuing an opinion regarding the fair value of the price for the Company's shares proposed in the Tender Offer.

The position of the Management Board along with the opinions of the Advisors constitute appendices to this report, with the reservation that the opinions of the Advisors have been prepared in English and this language version of the opinion is binding, and the Polish version is only their translation.

Legal basis: Article 80 item 1 - 3 of the Act of 29 July 2005 on public offering and conditions for introducing financial instruments to organized trading and on public companies.
